M/s Awasis Software Private Limited (hereinafter referred to as “Awasis” or “We”) has developed and engineered a unique product known as “AWASIS” of which salient features have been demonstrated on our website called www.awasis.software
You are required to read and satisfy yourselves about the Terms governing usage and utility of AWASIS because they are legally binding between you and Awasis.
These Terms govern your use of the AWASIS that link to these Terms. In this terms, the word Sites refers to each of the Website and the Services offered on those Sites. You automatically agree to these terms and to our Privacy Statement simply by using or logging into the Sites.
You must be of legal age i.e. 18 years and you must provide truthful and accurate information about yourself so as to enter into a binding agreement and accept the Terms. Do not impersonate anyone else when you create your account. If you do not agree to the Terms, do not use any of our Services. You must accept the Terms by checking a checkbox at the time of registration indicating your acceptance of the terms or by actually using this product.
This is an agreement between you or the entity that you represent (hereinafter “You” or “Your”) and Awasis Software Private Limited (hereinafter “Awasis”) governing your use of Awasis Suite of online business productivity and collaboration software.
You need to create an account with us and specify a password in order to use certain services or features on the Sites. When you sign up for an account for your organization you may specify one or more administrators. The administrators will have the right to configure the services based on your requirements and manage end users in your organization account.
You are responsible for (a) ensuring confidentiality of your organization account password (b) appointing competent individuals as administrators for managing your organization account, and (c) ensuring that all activities that occur in connection with your organization account comply with this Agreement. You understand that Awasis is not responsible for account administration and internal management of the Services for you.
You shall not share your account with anyone else. Please keep your password confidential and try not to use it on other websites. If you believe that your account has been compromised at any time, please notify your system administrator.
We may modify the Terms upon notice to you at any time through a service announcement or by sending email to your notified email address. If we make significant changes to the Terms that affect your rights, you will be provided with at least 30 days advance notice of the changes by email to your notified email address. You may terminate your use of the Services by providing Awasis notice by email within 30 days of being notified of the availability of the modified Terms if the Terms are modified in a manner that substantially affects your rights in connection with use of the Services.
We reserve the right to modify our Sites at any time, with or without notice to you. For example, we may add or remove functionality or features, and we may suspend or stop a particular feature altogether. We also reserve the right to charge a fee for any of our features at any time. If you do not like or agree with any changes, you may stop using our Sites at any time.
We may provide opportunities for you to post text, photographs, videos or other content (collectively called “Content”) on the Sites. You can only post Content if you own all the rights to that Content, or if another rights holder has given you permission.
You agree to indemnify, release, and hold us harmless from any or all liabilities, claims, actions losses, harms, damages, injuries, cost or expense arising out of any Content you post.
Needless to say, any information, ideas, suggestions, or other communications sent to us by you will not be treated as confidential. Moreover, unless we tell you otherwise, we reserve the right to reproduce, use, disclose, and distribute such communications without any obligation to you.
We are not under any circumstances responsible for and do not endorse, Content posted by any other person. Accordingly, we shall not be held liable, directly or indirectly, for any losses or damages caused to you in connection with any Content posted by another member.
Do not use the Sites in a way that violates any laws, infringes on anyone’s rights, is offensive, or interferes with the Sites or any features on the Sites (including any technological measures we employ to enforce these Terms).
It shall be common understanding that if you have acted inappropriately, we reserve the right to take down Content, terminate your account, prohibit you from using the Sites and take appropriate legal actions
Using our Site does not give you ownership of any intellectual property rights to the content you access. You will not use content from our Site unless you obtain permission from Awasis or unless you are otherwise permitted by law.
When you use a Site or send communications to us through a Site, you are communicating with us electronically. You consent to receive electronically any communications related to your use of a Site. We may communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. All notices from us intended for receipt by you shall be deemed to have been delivered and effective when sent to the email address you had notified with us. Please note that by submitting Content, creating a user account or otherwise providing us with your email address, postal address or phone number, you are agreeing that we or our employees or our agents may contact you at that address or number in a manner consistent with our Privacy Statement.
If you believe any Content on the Services infringes your copyrights, you may request Awasis to remove the Content from the Services (or disable access to that Content) by following the instructions on this page.
The Service may include features that operate in conjunction with certain third party social networking websites that you visit such as Facebook, Instagram, You Tube, Google+, Twitter etc. (Social Network Features) While your use of the Social Network Features is governed by these Terms, your access and use of third party social networking sites and the services provided through the Services is governed by the terms of service and other agreements posted on these sites. You are responsible for ensuring that your use of those sites complies with any applicable terms of service or other agreements.
In addition to all other terms and conditions of this Agreement, you shall not (i) transfer the Services or otherwise make it available to any third Party; (ii) provide any service based on the Services without prior written permission of Awasis; (iii) use the third party links to sites without agreeing to their website terms & conditions; (iv) Post links to third party sites or use their logo, company name, etc. without their prior written permission (v) publish any personal or confidential information belonging to any person or entity without obtaining consent from such person or entity; (vi) use the Services in any manner that could damage, disable, overburden, impair or harm any server, network, computer system, resource of Awasis; (vii) violate any applicable local, State, National or International law; and (viii) create a false identity to mislead any person or public at large as to the identity or origin of any communication.
You agree to be solely responsible for the contents of your transmissions through the Services. You agree not to use the Services for illegal purposes or for the transmission of material that is unlawful, defamatory, harassing, libelous, invasive, of another’s privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or is otherwise objectionable, offends religious sentiments, promotes racism, contains viruses or malicious code, or that which infringes or may infringe intellectual property or other rights of another. You agree not to use the Services for the transmission of junk mail, spam, chain letters, phishing or unsolicited mass distribution of email. We reserve the right to terminate your access to the Services if there are reasonable grounds to believe that you have used the Services for any illegal or unauthorized activity.
We reserve the right to terminate unpaid user accounts that are inactive for a continuous period of 30 days. In the event of such termination, all data associated with such user account will be deleted. We will provide you prior notice of such termination and option to back-up your data. The data deletion policy may be implemented with respect to any or all of the Services. Each Service will be considered an independent and separate service or the purpose of calculating the period of inactivity. In other words, activity in one of the Services is not sufficient to keep your user account in another Service active. In case of accounts with more than one user, if at least one of the users is active, the account will not be considered inactive.
We respect your right to ownership of content created or stored by you. You own the content created or stored by you. Unless specifically permitted by you, your use of the Services does not grant Awasis the license to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for Awasis’s commercial, marketing or any similar purpose, But you grant Awasis permission to access, copy, distribute, store, transmit, reformat, publicly display and publicly perform the content of your user account solely as required for the purpose of providing Services to you.
You may transmit or publish content created by you using any of the Services or otherwise. However, you shall be solely responsible for such content and the consequences of its transmission or publication. Any content made public will be publicly accessible through the internet and may be crawled and indexed by search engines. You are responsible ensuring that you do not accidentally make any private content publicly available. Any content that you may receive from other users of the Services, is provided to you AS IS for your information and personal use only and you agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license or otherwise exploit such content for any purpose, without the express written consent of the person who owns the rights to such content. In the course of using any of the Services, if you come across any content with copy right notice(s) or disable such copy protection features(s) as the case may be. By making any copyrighted/copyrightable content available on any of the Services you affirm that you have the consent, authorization or permission, as the case may be from every person who may claim any rights in such content available in the manner available in such manner. Further, by making any content available in the manner aforementioned, you expressly agree that Awasis will have the right to block access to or remove such content made available by you if Awasis receives complaints concerning any illegality or infringement of third party rights in such content. By using any of the Services and transmitting or publishing any content using such Service, you expressly consent to determination of questions of illegality or infringement of third party rights in such content by the agent designated by Awasis for this purpose.
Awasis reserved all rights of Awasis Product as AWASIS is registered brand. You agree not to display or use in any manner, the Awasis Trademarks, without Awasis’s prior written permission.
You expressly understand and agree that the use of the services is at your sole risk. The Services are provided on “AN AS IS AND AS AVAILABLE BASIS” Awasis expressly disclaims all warranties of any kind, whether express or implied including, but not limited to the implied warranties of merchantability and fitness for a particular purpose. Awasis makes no warranty that the services will be uninterrupted, timely, secure, or error free. Use of any material downloaded or obtained through the use of the Services shall be at your own discretion and risk, and you will be solely responsible for any damage to your computer system, mobile telephone, wireless device or data that results from the use of the Services or the download of any such material. No advice or information whether written or oral obtained by you from Awasis, its employees or representatives all create any warranty not expressly stated in these Terms.
You agree that Awasis shall in no event be liable for any consequential, incidental, indirect, special, punitive or other loss or damage whatsoever nature or for loss of business profits, business interruption, computer failure, loss of business information, or other loss arising out of or caused by your use of or inability to use the Service, even if Awasis has been advised of the possibility of such damage. In no event shall Awasis’s entire liability to you in respect of any service, wither direct or indirect, exceed the fees paid by you towards such service.
You agree to indemnify and hold harmless Awasis, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney’s fee and costs) arising out of or relating to any claims that you have used the Services in violation of another party’s rights, in violation of any law, in violations of any provisions of the Terms or any other claim related to your use or the Services, except where such use is authorized by Awasis.
Any controversy or claim arising out of or relating to the Terms shall be settled by binding arbitration in accordance with the Law of India. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The decision of the arbitrator shall be final and unappeasable. The arbitration shall be conducted in Thane and judgment on the arbitration award may be entered into at any court having jurisdiction thereof. Notwithstanding anything to the contrary, Awasis may at any time seek injunction or other forms of equitable relief from any Court of competent jurisdiction.
We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended period of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts shall be made to …….. within thirty days of being notified about the suspension. We may terminate a suspended or disabled user account after thirty days. We will also terminate your user account on your request.
The Services are available under subscription plans of various durations as has been notified and shown in our Website. You can request for 7 days trial period of this software application and as soon as you approve and accept you will have to effect the online or offline payment. On conformation of receipt of the payment the license keys will be issued and your account will be activated. You will get your subscription renewal notice in advance from Awasis. If you desire to renew your subscription you need to make the agreed payment. If you fail to make as aforesaid payment your subscription will be automatically temporarily discontinue and the same will be reactivated against payment.
7 Days 100% refund is available with "No Question Ask". After 7 days, in the event of discontinuation or cancellation of your subscription for what so ever reasons no refund will be allowed. It may be noted that your account is not transferable to any entity or third party directly or indirectly.
